These Terms & Conditions (“Terms”) govern (a) your access to and use of https://osiltecretail.com (the “Website”) and (b) where applicable, your purchase or use of products and/or services provided under the Osiltec Retail line of business operated by OSILTEC CONSULTING PRIVATE LIMITED (“Osiltec”, “we”, “us”, “our”). 

By accessing the Website, submitting an enquiry, requesting a quotation, signing a proposal/statement of work, placing an order, making a payment, or using our products/services, you agree to be bound by these Terms. If you do not agree, please do not use the Website or engage our products/services. 

Important: OSILTEC CONSULTING PRIVATE LIMITED is the legal entity operating this Website and the Osiltec Retail brand/line of business. Any brand names used on the Website are trade names only and do not create a separate legal entity.

2) Scope of These Terms 

These Terms apply to (a) use of the Website and (b) enquiries, quotations, online orders (if enabled), purchase orders, contracts, and transactions relating to retail Products and related Services offered under the Osiltec Retail line of business. 

3) Definitions 

  • “Customer/You” means any person or entity accessing the Website or dealing with us. 
  • “Products” means items we market, source, distribute, or supply (including associated accessories, spares, consumables, software/firmware where applicable, or documentation). 
  • “Services” means any services we provide, including (where applicable) sourcing support, supply-chain coordination, engineering/technical support, project support, installation/commissioning (if stated in writing), training, and after-sales support. 
  • “Proposal/Quotation/Quote” means our written commercial offer describing scope, pricing, validity, lead time, assumptions, and terms. 
  • “SOW” (Statement of Work) means any document describing agreed scope, milestones, deliverables, acceptance criteria, and commercial terms for Services. 
  • “Order” means your purchase order, written acceptance, online checkout order (if applicable), or other written confirmation to proceed. 
  • “Contract” means the binding agreement formed under Clause 8. 

4) Changes to These Terms 

We may amend or replace these Terms from time to time by publishing updated Terms on the Website. Updated Terms take effect on the date they are published on the Website and apply to Website use and, where applicable, to subsequent enquiries, quotations, orders, or transactions. Your continued use of the Website or continued engagement with our Products/Services after updated Terms are published constitutes acceptance of the updated Terms. 

5) Website Use and Acceptable Conduct 

You may use the Website for lawful purposes only, including learning about our Products/Services and contacting us. 

You must not: 

  • attempt unauthorised access, probe, scan, or test system vulnerabilities; 
  • introduce malware, interfere with the Website, or disrupt service availability; 
  • scrape, harvest, or copy Website content at scale using automated means without written permission; 
  • use the Website to transmit unlawful, infringing, defamatory, misleading, or harmful content; 
  • misrepresent your identity or impersonate any person or organisation. 

We may suspend or restrict access to the Website if we reasonably believe these Terms are being breached. 

6) No Reliance on Website Information 

Website content is provided for general information only. Specifications, availability, lead times, and pricing indications may change without notice. For any purchase decision, rely on the final Proposal/Quotation, datasheets, MSDS/SDS (where applicable), and/or written order confirmation issued by us. 

7) Enquiries, Communications, and Electronic Records 

If you submit an enquiry (forms, email, messaging apps, phone, etc.), you confirm the information provided is accurate to the best of your knowledge. You consent to being contacted using the details you provide for quotation, order execution, and support. 

You agree that electronic records (emails, PDFs, e-signatures, scanned acceptances, and similar) may form part of a binding Contract where permitted by law. 

8) Intellectual Property 

All Website content, including text, graphics, layout, logos, photos, documents, and downloadable materials, is owned by or licensed to Osiltec and protected by applicable intellectual property laws. 

You may view and print Website pages for internal business use. You must not reproduce, republish, or commercially exploit Website materials without our prior written permission. 

9) Quotations, Orders, and Contract Formation 

9.1 Validity 

Unless stated otherwise, Proposals/Quotations are valid only for the period stated in the Proposal/Quote. If no validity period is stated, it is valid for 7 days from the date issued. 

9.2 Formation of Contract 

A binding Contract is formed only when (a) we issue written order confirmation, or (b) we begin performance (for example, placing supplier purchase orders, scheduling work, allocating resources, or dispatching goods), whichever occurs first. 

9.3 Order of precedence 

If there is a conflict, the following order applies: 

  • Our written order confirmation (if any) 
  • The applicable SOW/Proposal/Quotation (scope, milestones, delivery, payment terms) 
  • These Terms & Conditions 
  • Customer purchase order terms (only if we explicitly agree in writing) 

9.4 Business-to-business nature 

Unless expressly agreed otherwise, our dealings are typically business-to-business. Nothing in these Terms limits rights that cannot be excluded under applicable law. 

10) Pricing, Taxes, and Payment 

10.1 Pricing and taxes 

Prices are as stated in our Proposal/Quotation and may be exclusive of applicable taxes (including GST/VAT), duties, and charges unless stated otherwise. Pricing may be based on specific Incoterms (for example EXW, FOB, CIF, DDP) and currency. 

10.2 Payment terms 

Payment terms are as stated in the Proposal/Quotation/order confirmation. We may require full advance payment, a deposit, or milestone payments. We may suspend performance for late payment. Late payments may incur reasonable administration charges and/or interest where permitted by law. 

10.3 Title 

Title to Products passes only upon receipt of full cleared payment, unless otherwise stated in writing. 

11) Delivery, Risk, Lead Times, and Partial Shipments 

Delivery dates and lead times are estimates unless expressly stated as guaranteed in writing. Delays may occur due to manufacturing schedules, shipping disruptions, customs processes, third-party carrier performance, or force majeure events. 

Risk of loss passes according to the Incoterm stated in the Proposal/Quotation/order confirmation. If no Incoterm is stated, risk typically passes when Products are handed to the carrier or made available for collection (depending on transaction structure). 

We may deliver in partial shipments unless agreed otherwise in writing. 

If delivery is delayed due to Customer actions/omissions (for example, site not ready, documents not provided, consignee unavailable), we may charge reasonable storage, re-delivery, demurrage, or related costs. 

12) Inspection, Claims, Returns, and Cancellations 

The Customer must inspect Products promptly upon delivery. 

Notify us within 3 business days of receipt for visible damage/shortage and keep original packaging for claims. For non-transit defects, notify us within 7 business days of discovery with evidence and batch/serial details. 

Returns are accepted only with our prior written approval and a return authorisation (RMA). Returned items must be unused (unless defective), in original packaging, and may be subject to restocking/inspection fees. 

Customised, made-to-order, or special procurement items are generally non-cancellable and non-returnable unless required by law or explicitly agreed in writing. 

13) Warranties and Disclaimers 

Unless stated otherwise in writing, Products may carry manufacturer warranties (if any). We do not provide any additional warranty beyond what is expressly stated in the Proposal/Quotation/order confirmation. 

Warranty does not cover misuse, incorrect installation, unauthorised repair, improper storage, normal wear and tear, or operation outside rated conditions. 

To the extent permitted by law, the Website and any information provided are offered “as is” and “as available”. 

Retail / E-commerce Specific Terms (Osiltec Retail) 

Where the Website supports retail ordering or consumer-oriented sales (including online checkout where available), the following additional terms apply. 

Order acceptance and pricing errors 

Online acknowledgements or order numbers do not constitute acceptance. We may reject or cancel orders for reasons including stock unavailability, suspected fraud, shipping restrictions, or pricing/description errors. 

Shipping, delivery, and returns 

Estimated delivery times are non-binding. Return, replacement, and refund eligibility (including return windows, condition requirements, and exclusions) will follow the return/refund policy shown on the Website or confirmed in writing for the order. 

Consumer rights 

Nothing in these Terms limits any mandatory consumer rights available under applicable law. 

Payment gateways 

Payments may be processed by third-party payment gateways. We are not responsible for third-party gateway outages, authorisation decisions, chargeback processes, or bank/payment network delays. 

14) Limitation of Liability 

To the maximum extent permitted by law: 

  • We are not liable for indirect, incidental, special, consequential, or punitive losses, including loss of profit, revenue, business, goodwill, downtime costs, or third-party claims. 
  • Our total aggregate liability arising out of or relating to a Contract, Products/Services, Deliverables, or Website use is limited to the amount paid to us for the specific affected order (or the portion of Services giving rise to the claim). 
  • Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law. 

15) Indemnity 

You agree to indemnify and hold Osiltec harmless from claims, losses, damages, and expenses arising from your misuse of the Website, your breach of these Terms, your improper installation/use of Products, your violation of laws/regulations/sanctions, or your infringement of third-party rights (including content you provide). 

16) Compliance, Export Controls, and Ethical Conduct 

You agree to comply with all applicable laws and regulations, including import/export rules, product compliance requirements, hazardous goods rules (if applicable), and sanctions controls. 

You represent that you will not use Products/Services for unlawful purposes and will comply with anti-bribery and anti-corruption laws. We may refuse to supply if compliance concerns arise. 

17) Third-Party Links and Services 

The Website may contain links to third-party websites or content. We do not control those sites and are not responsible for their content, privacy practices, or availability. Use third-party sites at your own risk. 

18) Privacy and Data Protection 

Your use of the Website is also governed by our Privacy Policy and any cookie notice displayed on the Website. If we process personal data as part of our Services, the parties will comply with applicable data protection laws and any data-processing terms stated in the applicable SOW/Contract. 

19) Force Majeure 

We are not liable for failure or delay in performance caused by events beyond reasonable control, including supplier delays, port congestion, freight disruption, third-party outages, cyber incidents, government actions, strikes, natural disasters, or similar events. Time for performance is extended for the duration of the force majeure event. 

20) Suspension and Termination 

We may suspend or terminate Website access or performance of Orders/Services if you breach these Terms, fail to pay amounts due, or if we reasonably suspect fraud or unlawful conduct. Upon termination, accrued rights and payment obligations survive. 

21) Governing Law and Dispute Resolution 

These Terms and any Contract are governed by the laws of India, without regard to conflict-of-law rules. 

If a dispute arises, the parties will first attempt to resolve it through good faith discussions. If unresolved, disputes shall be subject to the exclusive jurisdiction of courts located in Hyderabad, Telangana, India, unless the SOW specifies an alternative dispute resolution process. 

22) General 

  • Severability: If any provision is held invalid, the remaining provisions remain in full force. 
  • No waiver: Failure to enforce a provision is not a waiver. 
  • Assignment: You may not assign your rights/obligations without our written consent. 
  • Entire agreement: These Terms together with the applicable SOW/Proposal/Quotation and order confirmation form the agreement for the subject matter.
